3. Client Responsibilities

Clients agree to:

  • Respond to requests for information in a timely manner
  • Grant necessary access to platforms and accounts
  • Review and approve deliverables within specified timeframes
  • Comply with all applicable laws and regulations

4. Payment Terms

4.2 Payment Schedule

  • Late payments may incur interest charges of 1.5% per month

5. Intellectual Property

5.2 JAFS Retention Rights

JAFS USA INC retains rights to:

6. Confidentiality

We maintain strict confidentiality regarding all client information, business strategies, and proprietary data. This obligation continues beyond the termination of our services.

7. Service Level Agreements

  • Response time: Within 2 hours during business hours
  • Project updates: Weekly progress reports minimum
  • Communication: Dedicated account manager for premium packages
  • Support availability: Monday-Friday 9 AM-6 PM EST

8. Limitation of Liability

JAFS USA INC's liability is limited to the amount paid for services. We are not liable for indirect, consequential, or punitive damages. Our services are provided "as is" without warranties beyond those legally required.

9. Termination

9.1 Termination by Client

Clients may terminate services with 30 days written notice. Termination fees may apply based on project status and resources committed.

9.2 Termination by JAFS

We may terminate services for non-payment, breach of terms, or if continuation would violate applicable laws or ethical standards.

10. Dispute Resolution

Disputes will be resolved through binding arbitration in the state of Georgia. Both parties agree to attempt good-faith negotiations before pursuing formal dispute resolution.

11. Governing Law

These terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.
